These Terms and Conditions ("Terms") govern your use of Media Matter's project and financial management platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using Media Matter, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be:
- At least 16 years of age
- Authorized to enter into binding agreements
- Using the Service for lawful business purposes
- Representing an organization with legal authority to bind that organization
3. Account Registration
3.1 Account Creation
To use Media Matter, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information remains accurate and up-to-date
3.2 Organization Accounts
When creating an organization account, you represent that you have authority to bind that organization to these Terms. The organization is responsible for all activities of its users.
4. Subscription and Payment
4.1 Subscription Plans
Media Matter offers various subscription plans with different features and pricing. Details are available on our pricing page and may be updated from time to time.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are exclusive of applicable taxes
- Payment is due upon subscription activation or renewal
- You authorize us to charge your payment method automatically
4.3 Price Changes
We may modify subscription prices with 30 days' notice. Price changes apply to subsequent billing periods. Continued use after the price change constitutes acceptance.
4.4 Refunds
Subscription fees are generally non-refundable. We may provide refunds at our discretion for:
- Service outages exceeding our SLA commitments
- Billing errors
- Cancellations within 14 days of initial purchase
5. Use of the Service
5.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use Media Matter for your internal business purposes.
5.2 Acceptable Use
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service
- Interfere with the Service's operation or security
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to compete with Media Matter
- Share your account credentials with unauthorized parties
- Scrape, data mine, or extract data using automated means
- Use the Service for spamming or unsolicited communications
5.3 User Content
You retain ownership of all data, files, and content you upload to Media Matter ("User Content"). You grant us a license to:
- Store, process, and transmit User Content to provide the Service
- Create backups and ensure data redundancy
- Use aggregated, anonymized data for analytics and improvements
You are solely responsible for User Content and must ensure you have necessary rights and permissions.
6. Intellectual Property
6.1 Our Rights
Media Matter, its logo, and all related materials are protected by intellectual property laws. We retain all rights, title, and interest in the Service.
6.2 Feedback
If you provide suggestions, ideas, or feedback, we may use them without obligation or compensation to you.
7. Data and Privacy
Your use of Media Matter is governed by our Privacy Policy, which describes how we collect, use, and protect your information. We implement security measures to protect your data but cannot guarantee absolute security.
8. Service Availability
8.1 Uptime
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance (with advance notice)
- Emergency maintenance
- Factors beyond our control
8.2 Modifications
We may modify, update, or discontinue features at any time. We will provide notice for significant changes that materially reduce functionality.
9. Termination
9.1 By You
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
9.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activities
- Misuse the Service or harm other users
9.3 Effect of Termination
Upon termination:
- Your access to the Service ends immediately
- You may export your data within 30 days
- We may delete your data after the retention period
- You remain liable for any outstanding fees
10. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including:
- Merchantability and fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of the Service
- That the Service will meet your requirements
- That the Service will be error-free or uninterrupted
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for indirect, incidental, consequential, or punitive damages
- Our total liability is limited to the fees you paid in the 12 months preceding the claim
- We are not liable for data loss (you must maintain backups)
- We are not liable for third-party services or integrations
12. Indemnification
You agree to indemnify and hold harmless Media Matter from claims, damages, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your User Content
- Your violation of any rights of third parties
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of Latvia, without regard to conflict of law principles.
13.2 Arbitration
Disputes will be resolved through binding arbitration in Riga, Latvia, except you may bring claims in small claims court.
13.3 No Class Actions
You may only resolve disputes with us on an individual basis and may not bring claims as part of a class action.
14. General Provisions
14.1 Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Media Matter.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
14.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver.
14.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
14.5 Force Majeure
We are not liable for failures due to circumstances beyond our reasonable control.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via:
- Email to your registered address
- Notice in the Service
- Update to the "Last Updated" date
Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.
